Position Summary:
We are seeking a confident, versatile, and conscientious commercial lawyer to assist our Legal Director, Americas in providing legal advice and support to the various functional groups within the business in addition to providing general administrative support.
Responsibilities:
- Provide accurate, timely and proactive legal advice to colleagues on a variety of legal topics.
- Draft, review and negotiate a broad range of commercial legal agreements, including confidentiality agreements, supplier and customer contracts, framework agreements, general terms and conditions, warranty agreements, real estate agreements, intellectual property agreements and employment contracts.
- Work cross-functionally, developing strong relationships with other departments (such as Commercial, Purchasing, Engineering, Quality and Warranty, Human Resources, Finance, Tax and Treasury) to assess and address legal implications in commercial transactions and compliance matters.
- Deal with complex matters with multiple stakeholders.
- Instruct and manage external legal advisors as required, ensuring cost-effective and timely support.
- Provide advice and support on regulatory compliance including bribery, anti-corruption and competition law matters.
- Assist the legal team in designing and delivering training to the business.
- Promoting legal, compliance and risk management best practices throughout the business.
- Responsible for maintaining books, records, and general corporate governance matters for the US, Mexico, Canada, Argentina, and Brazil.
- Maintain and manage legal databases.
- Support corporate transactions and initiatives.
- Support the continuous improvement of legal processes to ensure legal objectives are met
Experience:
- Sound understanding of commercial and corporate law.
- Conduct your work with integrity and responsibility.
- Excellent communication and interpersonal skills.
- The ability to communicate complex legal issues and risks in terms that non-legal colleagues can understand.
- The ability to work effectively both autonomously and as part of a team.
- Have enthusiasm and drive to make a significant contribution towards the growth of the business
Education:
- Juris doctor from an accredited law school in the United States and an active membership at a State Bar.
- 2-4 years of experience, ideally with a mix of private practice and in-house experience (automotive industry experience is preferred but not required).
