TIFS shareholders ordinarily resident in the US or with a registered address in the US (and any custodian, nominee or trustee holding TIFS shares for persons in the US or with a registered address in the US) (together the “US Holders”) should note in particular that:
- i. the Offer relates to the securities of an English company with a listing on the London Stock Exchange and is subject to UK procedural and disclosure requirements and practices that are different from those of the US;
- ii. none of the securities referred to in the Microsite or in the Information in the Microsite have been approved or disapproved by the US Securities and Exchange Commission, any state securities commission in the US or any other US regulatory authority, nor have such authorities passed upon or determined the adequacy or accuracy of the Information in the Microsite;
